Rank One Computing Closes $24M IPO, Begins Trading on Nasdaq

Rank One Computing Corporation has completed its initial public offering, raising $24 million in gross proceeds after pricing 4 million shares of common stock at $6.00 per share, the top of its indicated $5.00 to $6.00 range. The company has begun trading on the Nasdaq Capital Market under the ticker symbol ROC.

The Denver-based company priced its upsized offering on February 19, 2026, began trading on February 20, and closed the offering on February 23. The Benchmark Company served as sole book-running manager. ROC also granted the underwriter a 30-day option to purchase up to an additional 600,000 shares to cover over-allotments. The company’s registration statement on Form S-1 was declared effective by the U.S. Securities and Exchange Commission on January 30, 2026.

ROC describes itself as a U.S. developer of multimodal Vision AI, building biometric, video analytics, and mission intelligence capabilities into a unified platform. Its core products include AI-powered facial recognition, fingerprint matching, iris recognition, and related biometric verification software, with a primary focus on government, defense, and enterprise customers seeking domestically controlled technology. The company has highlighted its performance in National Institute of Standards and Technology Face Recognition Vendor Test evaluations as a measure of algorithm quality.

ROC said it intends to use net proceeds to hire key personnel to support growth and market expansion, update and expand its neural-processing infrastructure for faster algorithm training and deployment, and fund working capital and general corporate purposes.

The offering was upsized from an earlier indication of approximately 3.71 million shares, reflecting investor demand. The IPO is one of the few recent public market entries by a dedicated biometrics company, arriving as government and enterprise buyers in the U.S. continue to prioritize domestically developed AI identity technologies.

The company has recently advanced its product and market positioning through an SDK upgrade and corporate rebrand, as well as a partnership with DeliverFund to provide biometric tools for anti-human trafficking work.
