Precise Biometrics and Fingerprint Cards Shareholders Approve Merger Plan

Shareholders of both Precise Biometrics and Fingerprint Cards have approved the merger plan that will combine the two Nordic biometrics companies into a single entity, clearing a key governance step toward completing the transaction.

Precise Biometrics held its Extraordinary General Meeting in Lund, Sweden, where shareholders voted to approve the merger plan jointly adopted by the boards of both companies on March 23, 2026. The meeting also approved amendments to the company’s articles of association to accommodate the share issuance required by the merger.

Fingerprint Cards held a separate Extraordinary General Meeting the same day in Stockholm, where its shareholders also voted in favor of the merger plan. Under the agreed terms, Fingerprint Cards shareholders will receive nine new ordinary shares in Precise Biometrics for each Fingerprint Cards share held, regardless of share class. Fingerprint Cards shareholders will collectively own approximately 47 percent of the combined company.

Precise Biometrics will issue up to 68,272,083 new ordinary shares as merger consideration, increasing its share capital by up to SEK 20.5 million. The merger is structured as an absorption, with Precise Biometrics as the surviving entity.

The combined company, detailed in a merger document published earlier this month, is expected to generate annual synergies of at least SEK 45 million, corresponding to approximately 29 percent of the combined 2025 pro forma revenue. Synergies will come through consolidated administration, streamlined operations, and optimized resource utilization.

Lund-based Precise Biometrics specializes in biometric software for fingerprint, facial, and palm recognition, while Gothenburg-headquartered Fingerprint Cards develops fingerprint sensor hardware and biometric solutions for mobile devices, access control, and payment cards. The merger is intended to create a vertically integrated biometrics provider covering both sensor hardware and authentication software.

Completion is expected in early Q3 2026, subject to registration with the Swedish Companies Registration Office.
