Precise Biometrics has published the formal merger document for its combination with Fingerprint Cards (FPC), advancing the transaction toward shareholder votes scheduled for April 30. The document details the strategic roadmap for building a combined multimodal biometrics and identity company and is available at precisebiometrics.com/investors/merger2026/.
The two Swedish firms adopted the merger plan in March 2026, with Precise Biometrics absorbing Fingerprint Cards through a statutory merger under the Swedish Companies Act. FPC shareholders will receive nine new Precise Biometrics shares for each FPC share, valuing Fingerprint Cards at approximately SEK 135.7 million ($14.5 million). After completion, FPC shareholders will hold a 47 percent stake in the combined entity.
The merger is expected to generate annual cost synergies of at least SEK 45 million (approximately $4.8 million), corresponding to roughly 29 percent of the combined company’s 2025 pro forma revenue. The savings will come through consolidation of administration, streamlined operations, and optimized resource utilization. Restructuring costs to achieve those synergies are estimated at approximately SEK 25 million, with the majority expected to be realized in 2026. The synergies represent a significant portion of the combined company’s cost base, driven by eliminating overlapping back-office functions and consolidating R&D resources.
Beyond cost reductions, the companies anticipate commercial synergies through upselling and cross-selling across the combined customer base. Lund-based Precise Biometrics, which focuses on biometric software for smart cards and digital identity, and Gothenburg-headquartered FPC, whose fingerprint sensor technology powers biometric payment cards and mobile devices, aim to offer integrated hardware-software solutions with broader commercial reach in both the biometric card and access control markets.
Following the merger, the combined company plans to raise approximately SEK 110 million ($11.8 million) through a rights issue of shares. Proceeds will be used to accelerate growth, capture the identified synergies, and support continued expansion of the combined company globally.
Extraordinary general meetings for both companies are set for April 30, 2026, with merger completion anticipated in early Q3 2026. The combined entity would bring together FPC’s sensor hardware portfolio, spanning fingerprint sensors for payment cards, smartphones, and access control devices, and Precise Biometrics’ software platform for biometric matching and digital identity under a single corporate structure.
