authID Raises $3.7 Million in Direct Offering to Advance Biometric Identity Platform

authID has completed a registered direct offering that raised approximately 3.675 million dollars in gross proceeds, giving the Nasdaq-listed company additional capital to invest in its biometric identity verification and authentication platform. The deal saw authID sell just over 2.68 million shares of common stock and pre-funded warrants at a purchase price of 1.35 dollars per share, with directors and other insiders paying a higher price of 1.71 dollars per share.

The transaction was led by investors Kyle Wool and Steve Garchik, with Dominari Securities and Madison Global Partners serving as co-placement agents. authID says it plans to use the net proceeds for working capital and general corporate purposes, a broad category that typically includes product development, sales and marketing, and ongoing operating expenses as the company refines its commercial strategy.

authID positions itself as a biometric identity provider that “knows who is behind the device” for logins and high-value transactions. Its platform uses face matching and liveness detection to create a biometric root of trust for each user and to prevent account takeover, deepfake-enabled fraud, and other identity abuses. The company has highlighted very low false positive rates as a differentiator for high-assurance use cases, and is marketing its technology to both workforce and customer authentication buyers, as well as organizations looking to bring stronger identity guarantees into AI-driven workflows through its Mandate Framework.

The raise comes at a time when many pure-play biometrics vendors are repositioning their offerings around broader “identity assurance” and risk-based access capabilities. For authID, the new funding provides additional runway to execute on that pivot, invest in partnerships, and compete in a crowded market where passwordless authentication, deepfake resistance, and regulatory expectations around identity proofing are converging.

The current funding round continues authID’s capital-raising activities. The company previously raised $2.1 million in May 2025 and completed a $9.4 million offering in late 2023. authID has also been active in forming partnerships, including a $10 million deal in India, integration with Ping Identity, and a partnership with Prove on deepfake-resistant verification. The company launched its PrivacyKey system in January 2025.
