Smart Eye Agrees to Acquire Sightic Analytics in Impaired-Driving Detection Deal

Smart Eye AB has entered into an agreement to acquire Sightic Analytics AB, a Swedish AI software company focused on alcohol-impairment detection and driver monitoring technology. The transaction covers 100 percent of Sightic’s equity.

The acquisition is intended to strengthen Smart Eye’s driver monitoring portfolio by adding impaired-driving detection capabilities, particularly related to alcohol use. Sightic’s technology focuses on in-vehicle safety sensing, aligning closely with Smart Eye’s existing product roadmap.

As part of the deal, Smart Eye plans to integrate Sightic’s datasets and algorithms into its development pipeline. Sightic’s data collection methods and algorithm maturity were identified as central assets supporting the acquisition.

The fixed purchase price is set at SEK 60.5 million and will be paid through newly issued Smart Eye shares, structuring the base consideration as an equity transaction rather than a cash payment.

The agreement also includes a performance-based earn-out of up to SEK 50 million tied to financial and operational milestones. The earn-out may be settled in cash or additional shares, depending on performance outcomes.

If all earn-out conditions are met, the total consideration would reach SEK 110.5 million.

Completion of the transaction is subject to the Swedish Inspectorate of Strategic Products leaving its application without action. Smart Eye expects the deal to close in March 2026, following the announcement issued on February 4, 2026.

Chief executive and founder Martin Krantz cited Sightic’s strengths in positive datasets, data collection methodologies, and algorithm maturity as key factors behind the acquisition.

If completed, the transaction would expand Smart Eye’s technology stack and support its roadmap for impaired-driving detection within driver monitoring systems.
