Fourthline and Veridas Complete Merger With up to €65 Million in Funding

Fourthline and Veridas have completed their merger, combining the Amsterdam-based identity verification and compliance provider with the Spanish biometrics company under Fourthline chief executive Paul Stoddart. The transaction closed on Nov. 3 and includes funding of up to €65 million.

The companies agreed to merge in July, planning a single identity platform for regulated businesses across Europe, the United States and Latin America. Existing Fourthline shareholder Finch Capital is providing part of the new funding, alongside a new equity investment from Seaya Andromeda and debt financing from Ashgrove Capital.

The money will go toward product development, acquisitions and refinancing debt, and will support a reorganization of shareholdings that includes partial liquidity for Veridas shareholders. Both businesses were EBITDA-positive at closing, according to the companies, which project combined revenue of more than €50 million in 2026 and annual recurring revenue of €85 million in 2029. They expect €20 million in annual run-rate synergies, mostly from selling each company’s technology to the other’s customers, because their customer bases overlap little.

Fourthline brings compliance and decisioning tools built for regulated financial services in Northern and Central Europe, and its clients include Revolut, N26, Trade Republic, Qonto and Rabobank. Pamplona-based Veridas, founded in 2017 as a joint venture with BBVA, contributes biometric, document and voice verification technology used in Southern Europe, Latin America and the United States, and serves more than 350 clients in 25 countries. Qualified trust services will be delivered by Fourthline Trust Services, which holds qualified trust service provider status in the EU.

Veridas chief executive Eduardo Azanza becomes president of the combined company, and Finch Capital managing partner Radboud Vlaar chairs the supervisory board. Esteban Morrás, previously president of Veridas, Finch Capital’s Philip van Engers and Seaya Andromeda investment director Alfonso Diaz join the supervisory board of Fourthline Group Holding B.V. The company will be headquartered in Amsterdam, with offices in Stockholm, Pamplona, Barcelona, Mexico, São Paulo and Boston.

The group operates in more than 50 countries and says it is on track for 200 million verifications in 2026. Existing customers keep their contracts, integrations and support, and the platforms will be integrated in phases.

“Starting today, a business partner onboarding customers in Amsterdam, Madrid, London, Mexico City, São Paulo or Bogotá will be able to apply a single verification standard through a single provider,” Stoddart said. “Our first job is to ensure continuity of service for existing customers; our second is to give them access to incremental value.”

“Our mission is clear: we tell the real from the fake, so our customers can build on trust,” Azanza said. “This merger gives us the talent, technology and reach to take that mission further than either company could alone.”
