FintechWerx, a Canadian payments and identity services company, has closed the first tranche of its acquisition of High Risk Shield, a device-intelligence and fraud-detection technology aimed at digital commerce. The first tranche covers 25,000 dollars in cash and 650,000 common shares of FintechWerx priced at 0.72 dollars per share, with additional share tranches contingent on integration milestones and a 5,000-device deployment threshold.
High Risk Shield is a device-intelligence platform that analyses signals from the device a user is operating on, rather than relying on the user’s claimed identity. It looks for patterns that indicate the same actor returning under a different identity, automated traffic from non-human clients, and other behaviours associated with repeat or coordinated fraud across digital commerce. The technical approach is closer to device fingerprinting than to biometrics, but it sits in the same identity-risk stack that biometric onboarding vendors plug into.
The platform is positioned for merchants, independent sales organisations, payment service providers, financial institutions, and affiliate marketing platforms. Each of those is a customer category where the same underlying user can present multiple times under different identities, and where the cost of failed identification at onboarding compounds across the commerce flow. By embedding device-level signals into the onboarding and transaction path, the technology is designed to flag the repeat actor before they complete the next transaction.
“High Risk Shield introduces device-level intelligence that strengthens how we identify and manage risk across our platform,” said George Hofsink, Co-Founder and Chief Executive Officer of FintechWerx. The acquisition extends FintechWerx’s existing services, which already include onboarding, payments, identity verification, fraud mitigation, and data services for merchants and payment service providers, with device intelligence added as an internal capability.
The total acquisition value, on completion of all tranches, is described as 25,000 dollars in cash plus 1.3 million FintechWerx shares, with the share component valued at approximately 961,000 dollars at the issue price. The remaining 650,000 shares are split between an integration milestone and the 5,000-device deployment milestone, with hold periods on the issued shares of more than four months.
The acquisition is structured as a phased close rather than a single closing, reflecting both the integration work and the device-deployment milestone the parties have built into the deal.
